Please read our Terms and Conditions carefully. They exist to provide clarification for everyone in the unlikely event of a dispute.
1. Commencement of a Project
Before a project is started, ‘the Client’s’ written confirmation is needed stating that they agree to the proposal’s terms and conditions and they accept the quote given.
Depending on the service requested, a 50% deposit or full payment is required before beginning your project.
2. Payment Terms
A deposit of 50% of the total quoted amount is required on acceptance of the quote by ‘the Client’. The deposit amount will be deducted from the total due on completion of the project.
Remaining payment amount is required within 14 days of acceptance of the final draft by ‘the Client’.
Invoices will be sent electronically. Payment is to be made by bank transfer.
Jobs under $500 require full payment before the project begins.
Each proposal includes two sets of copy revisions. Additional revisions are charged at $60 per hour.
You have a maximum of 14 days to respond with revisions from submission of first draft, after which time the project will be closed and the final invoice sent.
Final payment of the balance is required within 7 days of the final invoice being sent out.
Please note this quote does not include graphic design or web uploading. This quote is to provide the words only.
Should you require Breezy Words to liaise, brief or source graphic designers, web developers, printers etc, we would be happy to assist. This service is available should you need it for an hourly rate of $60.
3. Changes to the Project Scope
If ‘the Client’ should require major alterations to the copy provided (based on the brief provided), or the project objectives significantly change, Breezy Words reserves the right to re-submit this proposal and/or review the quote if the job is already in progress.
4. The Contract
If you wish to hire Breezy Words to work for you on behalf of any company, group of individuals or organisation other than yourself or your own company, you confirm that you are authorised to hire us on their behalf.
If you hire Breezy Words on behalf of a marketing agency to work for the agency on a project for one of your clients, a contract exists only between Breezy Words and the agency, and not between Breezy Words and the agency’s client.
You agree to indemnify Breezy Words against any claim for compensation or damages brought about as a direct or indirect consequence of the work we do for you and/or your organisation.
5. Copyright and Display Rights
We will assign copyright of all materials that we write to you following full payment of all fees due.
Unless specifically requested not to, Breezy Words may from time to time feature the completed work in our portfolio of material on the Breezy Words website.
6. Cancellation of Services
If the project is rejected on the basis of style, composition, editing or our interpretation of your needs, amendments or circumstances, you are liable for the full cost of the initial quote.
If a project is cancelled after written confirmation has been received, but before the first draft has been submitted, we reserve the right to retain the non-refundable deposit of 50% with no other payments required.
If the job is cancelled once work has begun, the full invoice amount will still need to be paid.
7. Errors, Literals and Liabilities
Breezy Words assumes all material and background information provided to us is legal and accurate and we take no responsibility for the material and how it is used once ‘the Client’ has approved the final draft.
If the content is misused or modified by ‘the Client’ after it has been approved, Breezy Words accepts no liability.
If material supplied to Breezy Words is confidential or is business sensitive information, you agree to indemnify us against any action whatsoever by you or a third party, associated with the accidental disclosure or loss of this information
Breezy Words will do our utmost to ensure that all materials supplied to you are free of errors. However, you agree that you are responsible for final proofreading, and indemnify us against any costs arising from the appearance of such errors in any printed or published form.
Whilst we will do our best to ensure that all work complies with the law, it is your responsibility to submit all copy for legal review.
All materials provided by you are assumed to be legal and accurate.
8. Entire Agreement
Breezy Words is located on the Central Coast in New South Wales, Australia. The laws of New South Wales governs these terms. You agree to submit to the exclusive jurisdiction of the courts of the State of New South Wales, or other such competent courts, to resolve any dispute or claim arising from these Terms.
These Terms and Conditions constitute the entire agreement and understanding of the parties and supersede any previous agreement between the parties. A waiver of a breach of any of the provisions of this Agreement shall not be construed as a continuing waiver of other breaches of the same or other provisions.
